Wholesale Terms & Conditions

1. Scope

1.1. These Terms & Conditions apply to all wholesale orders for art prints between Baroo Bloom e.U. (the “Seller”) and her business customers (“the Buyer”).
1.2. Any different or additional terms from the Buyer do not apply unless the Seller agrees to them in writing.

2. Orders & Product Changes

2.1. All offers are non-binding. An order becomes final only once the Seller confirms it in writing (by email).
2.2. The Seller may change the type of paper or printing process if needed but guarantees consistent, high quality.
2.3. Production may be carried out by third-party print providers if needed.

3. Prices & Payment

3.1. Prices are stated in the order confirmation or the current wholesale price list.
3.2. Payment terms:

• New customers: first order by prepayment only.
  
  
• Returning customers (orders up to €899.99 net): payment due within 14 days of invoice date.
  
  
• Orders from €900.00 net: prepayment required.
  3.3. Taxes:
  All prices are final according to the Austrian Small Business Regulation (§ 6 Abs. 1 Z 27 UStG) and do not include VAT. Input tax deduction is not possible.
  Sales to businesses in other EU countries are also made without VAT, as the Seller does not hold a VAT ID number.
  
  

4. Delivery & Risk

4.1. Orders are shipped to the business address provided by the Buyer. Delivery times are approximate unless a fixed date has been agreed in writing.
4.2. The risk of accidental loss or damage passes to the Buyer once the order is handed over to the shipping carrier. The Seller’s preferred shipping carrier is Österreichische Post, but the Seller reserves the right to use a different carrier if necessary.

5. Warranty & Returns

5.1. The warranty period is six (6) months from delivery.
5.2. The Buyer must check the goods immediately upon receipt. Visible issues (such as transport damage) must be reported in writing within 48 hours. If no notification is made in time, the goods are considered accepted.
5.3. Returns are only accepted for defective or damaged items that have been reported promptly.

6. Copyright & Use

6.1. The Seller is the sole creator and copyright holder of all artworks sold.
6.2. The Buyer may not reproduce, scan, copy, or otherwise publish the prints in any form.
6.3. Resale of the prints in their original condition is permitted within the Buyer’s retail business.
6.4. The Seller guarantees that she is the rightful owner and creator of the artworks offered for sale. However, she shall not be liable for any costs, claims, or damages arising from third-party allegations of copyright infringement, unless such claims are legally proven and based on justified grounds.

7. Governing Law & Jurisdiction

7.1. Austrian law applies. The UN Convention on the International Sale of Goods does not apply.
7.2. Place of jurisdiction for all disputes is Vienna, Austria.
